How this works, in plain English.

Written to be read rather than to be survived. If anything here is unclear, ask me before you sign anything: a term you did not understand is not a term worth having.

PENDING: SOLICITOR REVIEW. This page is a plain-English summary written alongside the site, not a contract and not legal advice. The written contract template in PLAN.md §13 is what should govern a real project, and both should be checked by someone qualified before the first invoice goes out.

Who these apply to

These terms cover work carried out by Nick Ward, trading as Onward Creations, for a client. They sit alongside whatever is written in your quote. Where the two disagree, the quote wins, because it is the one describing your actual project.

Quotes and what they cover

  • Every quote is a fixed price for a described scope, with a launch date, and it holds for 30 days.
  • The quote says what is included and what is not. Anything not written in it is not in it, which is why the not-included list on the pricing page is as long as it is.
  • If the scope changes, I tell you what it does to the price and the date before I do the work, in writing. No surprises at the bottom of the final invoice, and no silently absorbing three extra days and resenting it.

Payment

  • 50% to start. This books the time and is what I begin work on.
  • 50% on launch, due when the site goes live and before the logins are handed over.
  • Bespoke work is split per phase instead, so you are never paid up further than the work delivered.
  • Invoices are due within 14 days. Bank transfer.
  • No VAT. I am not VAT-registered, so nothing is added. If that ever changes, it changes on the pricing page before it changes on an invoice.
  • Late payment: I would rather ring you than charge you. Statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 is the backstop, not the opening move.

What I need from you

The thing that actually delays websites is content, so it is worth being blunt about it. I need your text, photographs, opening hours, prices and logins in a usable form, and I need feedback within a reasonable time. If a project stalls on my side, the date moves and that is my problem. If it stalls waiting on content for more than 30 days, I may invoice for the work completed and reschedule the rest.

You are responsible for the accuracy of anything you give me: claims about your business, prices, qualifications, and that you have the right to use the images you send.

Revisions

Two rounds on Presence, three on Standard, agreed per phase on Bespoke. A round is one consolidated set of feedback rather than a trickle of individual messages. Beyond the included rounds, further changes are quoted before they happen. Fixing something that is broken or not as agreed is never a revision. It is just me finishing the job.

Who owns what

  • You own it on final payment. The design, the code and the content transfer to you when the last invoice is settled.
  • The domain is registered in your name from the start. So is the analytics account. The code lives in a repository in your name.
  • I keep the right to show the work in my portfolio and to describe how it was built, unless you ask me not to, in which case I will not, and you do not have to give a reason.
  • Third-party components keep their own licences, and any that carry an ongoing cost are listed with real numbers in the quote.

Launch, snags and the guarantee

  • Two weeks of free snag fixes after launch. A snag is something that does not work as agreed, not a change of mind.
  • The speed guarantee: if a page I build does not load its main content in under two seconds on a mid-range phone on a normal mobile connection, I keep working until it does, at my cost. It applies to the site as I delivered it. I cannot guarantee it after a 4MB image or a third-party chat widget has been added to it.

The care plan

  • Monthly, rolling, no minimum term and no exit fee.
  • One month's notice, by email, and it stops.
  • Cancelling does not take the site down. You would arrange hosting and updates yourself or with someone else, and I hand over anything you do not already hold.
  • It covers small content changes. Anything that is really a new piece of work gets quoted rather than quietly absorbed.

If either of us wants to stop

You can cancel a project at any point. You pay for the work done to that date and you keep it. If I cannot complete a project, I refund anything paid for work not delivered and hand over everything produced so far, in a form another developer can pick up. Neither of us should be trapped in a job that has stopped working.

Liability

I will do this work with reasonable skill and care. What I cannot promise is a commercial outcome: how many enquiries a website produces depends on far more than the website. My liability is limited to the fees paid for the project, except where the law does not allow that limit, which includes death or personal injury caused by negligence, and fraud.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
